- Introduction
These Terms & Conditions (“Terms”) govern the provision of services by NOVAX TECH INVESTMENT GROUP PTE. LTD. (“Company”, “we”, “our”, or “us”), a company incorporated in Singapore, specializing in information technology consultancy (excluding cybersecurity) under SSIC Code 62021. By engaging our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms. - Scope of Services
The Company provides IT consultancy services, including but not limited to:- IT strategy and planning
- Systems integration advice
- Software and infrastructure consulting
- Digital transformation advisory
The exact scope of services shall be defined in a separate written agreement, proposal, or statement of work (“SOW”).
- Client Obligations
The Client agrees to:
- Provide accurate and complete information necessary for service delivery
- Ensure timely cooperation and access to relevant personnel and systems
- Comply with all applicable laws and regulations
Failure to meet these obligations may impact timelines, deliverables, and outcomes.
- Fees and Payment
- Fees shall be specified in the applicable SOW or agreement
- Invoices are payable within the stated period (typically 14–30 days)
- Late payments may incur interest at a reasonable rate
- The Company reserves the right to suspend services for non-payment
- Intellectual Property
- Pre-existing intellectual property remains the property of the originating party
- Deliverables created specifically for the Client shall be transferred upon full payment unless otherwise agreed
- The Company retains the right to use general knowledge, skills, and experience gained during the engagement
- Confidentiality
Both parties agree to:
- Maintain confidentiality of proprietary or sensitive information
- Use such information solely for the purpose of fulfilling contractual obligations
- Not disclose such information without prior written consent, unless required by law
- Limitation of Liability
- The Company shall not be liable for indirect, incidental, or consequential damages
- Total liability shall not exceed the fees paid for the specific services giving rise to the claim
- The Company does not guarantee specific business outcomes
- Termination
Either party may terminate the agreement:
- With written notice as specified in the contract
- Immediately in case of material breach not remedied within a reasonable time
Upon termination:
- All outstanding fees become due
- Work completed up to termination will be invoiced
- Force Majeure
The Company shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, government actions, or technical disruptions. - Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.
